Terms of Service

Please read these Terms of Service ("Terms") carefully before using the RideRoute platform. By creating an account or continuing to use RideRoute, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you (the "Customer" or "User") and RideRoute Inc. ("RideRoute", "we", "us"). They govern your access to and use of the RideRoute software-as-a-service platform, mobile applications, APIs, and related services (collectively, the "Service"). Your use of the Service on behalf of an organization means you represent that you have authority to bind that organization to these Terms.

2. Description of Service

RideRoute provides software tools for Non-Emergency Medical Transportation (NEMT) operators. The Service includes trip scheduling and dispatch management, driver mobile tracking, patient records management, reporting, and billing administration.

RideRoute is a technology platform, not a healthcare provider, medical professional, or NEMT operator. We do not provide transportation services, medical advice, or clinical decision support. Customers are solely responsible for ensuring their NEMT operations comply with all applicable federal, state, and local laws and regulations, including HIPAA and any Medicaid broker requirements.

3. Subscription & Billing

Plans & Pricing

RideRoute offers subscription plans (Starter, Professional, and Enterprise) as described on our Pricing page. Pricing is subject to change with 30 days' notice to existing subscribers.

Free Trial

New accounts may be eligible for a free trial period as specified at signup. At the end of the trial, your account will automatically convert to a paid subscription at the plan you selected unless you cancel before the trial ends.

Auto-Renewal & Cancellation

Subscriptions are billed in advance on a monthly or annual cycle and auto-renew unless cancelled. You may cancel at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period; we do not provide prorated refunds for unused time within a paid period.

Refunds

Subscription fees are non-refundable except as required by applicable law or where RideRoute has caused a material service failure. Refund requests may be submitted to billing@rideroute.app.

Payment Processing

Payments are processed by Stripe. By providing payment information you agree to Stripe's terms of service. RideRoute does not store raw payment card data.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Attempt to access, read, or modify data belonging to another customer's tenant environment
  • Circumvent, disable, or otherwise interfere with security features of the platform
  • Scrape, crawl, or use automated means to extract data from the Service beyond normal use
  • Use the Service to transmit malware, spam, or other harmful content
  • Misrepresent your identity, organization, or authorization to use the Service
  • Engage in any activity that places an unreasonable load on our infrastructure

We reserve the right to suspend or terminate access for violations of this section without notice.

5. Intellectual Property & DMCA

The RideRoute platform, including its software, design, trademarks, and documentation, is owned by RideRoute Inc. and protected by intellectual property law. These Terms do not grant you ownership of any RideRoute IP. Your subscription grants a limited, non-exclusive, non-transferable license to use the Service during the subscription term.

You retain ownership of all data you input into the Service ("Customer Data"). You grant RideRoute a limited license to process Customer Data solely to provide and improve the Service as described in our Privacy Policy.

If you believe content on the Service infringes your copyright, please send a DMCA notice to legal@rideroute.app with the information required by 17 U.S.C. § 512(c)(3).

6. Healthcare Disclaimer

RideRoute is an operational software tool designed to assist NEMT operators with scheduling, dispatch, and fleet management. We are not a licensed healthcare provider, medical transportation broker, or Medicaid managed care organization.

Customers are solely responsible for: (a) ensuring their NEMT operations comply with all applicable regulations including HIPAA, state Medicaid requirements, and DOT/vehicle regulations; (b) appropriate credentialing and licensing of their drivers and vehicles; (c) the accuracy of patient and trip data entered into the platform; and (d) obtaining any necessary Business Associate Agreements with their own downstream partners.

7. Data & Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

8. Termination

Either party may terminate the subscription at any time. Upon termination:

  • Your access to the Service will end at the close of the current billing period (if you cancel) or immediately (if RideRoute terminates for cause)
  • We will retain your Customer Data for 30 days post-termination to allow you to export it. After that window, data deletion is scheduled per our retention policy. ⚠️ TBD: Confirm 30-day window against actual offboarding implementation before launch.
  • RideRoute may terminate or suspend access immediately for violations of the Acceptable Use policy, non-payment, or if continued use creates legal or security risk

9. Limitation of Liability & Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. RIDEROUTE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE MAKE NO REPRESENTATIONS ABOUT SERVICE UPTIME OR AVAILABILITY LEVELS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIDEROUTE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO RIDEROUTE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL RIDEROUTE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS — IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW. ⚠️ TBD: This cap language should be reviewed by counsel before launch.

10. Governing Law & Dispute Resolution

⚠️ TBD — Legal Review Required: The following is a placeholder drafted by the engineering team as a starting point only. Governing law, venue, and dispute resolution terms must be finalized by qualified legal counsel before launch.

Starting point for counsel review: These Terms are proposed to be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any disputes arising under these Terms would be subject to binding arbitration administered in Pennsylvania under the rules of the American Arbitration Association, with each party bearing its own costs. Class action waivers may apply.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify account administrators by email at least 30 days before the changes take effect and update the "Last updated" date at the top of this page. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you may cancel your subscription before they take effect.
